WHAT DOES IT MEAN TO “TOKENIZE” A REAL ESTATE ASSET?
Real estate asset tokenization is an emerging trend representing the convergence of real estate investment and blockchain technology. Tokenization helps asset or fund owners raise capital more efficiently and gives investors unprecedented access to real estate investment opportunities as well as a high degree of transparency and liquidity. Tokenization describes a fundraise in which investors exchange fiat money or crypto currency for “tokens”. The ownership interest represented by the token dictates the value of the token. In real estate, a token can represent a variety of ownership interests including ownership of a physical asset, an interest in the debt secured by real estate, equity in a legal structure that owns the real estate, or a cash flow stream from the asset. Without becoming too technical, this session also deals with all required tools and modules for creation, issuance, sale, distribution, management, tracking and trade of tokenized properties.

HOW INVESTORS AND OWNERS BENEFIT FROM TOKENIZATION
This session illustrates that there are a lot of opportunities and advantages to tokenization. It removes the middle man, making it easier and cheaper for investors to buy and sell real estate and for owners or developers to raise capital. Investors can trade tokens almost instantly and for a very low fee (similar to stock market trades). For owners, tokenization makes it possible to raise capital without financial intermediaries to underwrite the project. Real estate has historically delivered attractive returns, but it has high barriers to entry because the assets involved are so expensive. Investors in tokenized real estate assets get the best of both worlds: the high returns of real estate investments (even with a very small investment), and the liquidity of the stock market. It’s also important to note that because real estate tokens are backed by real assets, they carry far less risk than cryptocurrencies or ICOs, which are highly volatile and speculative assets. What’s more, stabilization measures can be put in place to ensure the value of the security token does not deviate too far below the underlying net asset value (NAV) of the property.

SECURITY AND INVESTOR MANAGEMENT
Asset management and investments have traditionally been quite institutionalized and exclusive, with set rules and methods of how to do things. As tokenizing finds its feet, the technology begins to offer even more ways in which this space can move with the times. For the time being investor knowledge and comfort around the security and innerworkings of tokenization remain hurdles for mainstream adoption. This session will explain how to overcome these hurdles. The transaction process for a real estate asset in the form of token transfers cuts through much of the traditional transaction complexity and has a publicly auditable history. The token is issued on a blockchain, and with that comes the guaranteeing of trust, transparency, immutability, non-corruption of data and non-duplication. In addition, the Masterclass addresses how the tradability and liquidity of the token is arranged on digital secondary markets.

HOW TO REGULATE A TOKEN OFFERING IN THE USA.
The underlying technology’s evolution pace is by definition ahead of regulatory frameworks. The regulation of the token economy is one of the most conflictive tasks within the Blockchain ecosystem. The Masterclass will give an overview of the actual regulatory and legally status of real estate tokens in the USA, and how the Security Exchange Commission approaches the issue and in what ways investors are protected against bad practices. Tokens draw upon several existing areas of law, the most obvious that it applies to is securities law. What is the definition of an investment, and what is not considered an investment? Also, what are the rules around soliciting investors, how to handle it, and where to register the offering? Learn about banking regulatory structures like anti-money laundering (AML) and know your customer (KYC).

TOKENIZED REAL ESTATE CASES
To illustrate how tokenizing can be structured in real estate, this session focuses on providing insights on the various aspects of tokenizing real estate. Participants will actively learn from the different cases in which specific solutions and problems are addressed. Examples are a resort in Colorado, an apartment in New York, a parking garage in Llubjana (Slovenia), a mansion in Paris, a residential building in Wiesbaden (Germany) and an apartment building with restaurant in Baar (Switzerland). However, the list is not exhaustive: use cases for additional activities may arise, notably as a result of consultations with experts will be added over time with the most actual tokenized real estate cases.
